1. Purpose and Scope
These Terms and Conditions (“Terms”) govern the provision of diagnostic advisory services (the “Services”) by TELEP NETWORK (“the Provider”) to the commissioning organization (“the Client”).
The Services consist of an expert-led, pre-commitment diagnostic intended to inform internal decision-making related to funding instruments, grant calls, program design, or governance frameworks.
The Services are advisory in nature and do not constitute consulting, audit, evaluation, due diligence, or automated decision-making services.
2. Nature of the Services
2.1 The Services are qualitative, non-automated, and non-binding.
2.2 The Services do not generate scores, rankings, approvals, rejections, or eligibility determinations.
2.3 The Services are designed to surface potential structural risks, design assumptions, and alignment issues prior to commitment of funds or resources.
2.4 The Services support, but do not replace, human judgment, internal appraisal processes, or governing body decisions.
3. Methodological Approach
3.1 The diagnostic is conducted using a structured qualitative review process, which may include:
review of objectives, assumptions, and stated theories of change;
analysis of governance, accountability, and incentive structures;
identification of internal contradictions or feasibility gaps;
formulation of analytical observations and decision-relevant questions.
3.2 Findings are presented as considerations for review and discussion.
3.3 No statistical inference, predictive modeling, scoring algorithm, or machine learning system is used.
4. Sources and Inputs
4.1 The Services rely exclusively on:
documentation provided by the Client; and/or
publicly available institutional materials.
4.2 The Provider does not independently verify the accuracy, completeness, or suitability of information supplied by the Client.
4.3 No third-party or confidential data is accessed unless explicitly provided by the Client.
5. Quantitative Illustrations
5.1 Any numerical examples, scenarios, or financial illustrations included in the Services are:
illustrative only,
conservative in framing,
and non-predictive.
5.2 Such illustrations do not constitute projections, forecasts, estimates of savings, or guarantees of outcomes.
6. Exclusions and Non-Services
For the avoidance of doubt, the Services does not:
select, approve, reject, or rank grantees, investees, or partners;
predict program success or failure;
assign probabilities, expected returns, or impact metrics;
constitute legal, financial, fiduciary, accounting, or investment advice;
replace due diligence, evaluation, audit, or compliance functions;
constitute automated decision-making under applicable European Union regulations.
7. Responsibility and Decision Authority
7.1 All decisions taken following delivery of the Services remain the sole responsibility of the Client.
7.2 The Provider does not assume responsibility for decisions made, actions taken, or outcomes arising from use of the Services.
7.3 The Services do not bind decision-makers or create any obligation to act or refrain from acting.
8. Disclaimer
The Services are provided as an advisory, non-binding analytical service intended solely to inform internal decision-making. They do not constitute legal, financial, fiduciary, or investment advice, nor do they replace internal appraisal, due diligence, evaluation, or approval processes. No representations or warranties are made regarding outcomes, performance, or results. The Client retains full responsibility for all decisions taken on the basis of the Services. Nothing in the Services constitutes automated decision-making within the meaning of applicable European Union regulations.
9. Limitation of Liability
9.1 To the maximum extent permitted by law, the Provider shall not be liable for any indirect, consequential, incidental, or reputational damages arising from use of the Services.
9.2 The Provider’s total liability, if any, shall in all cases be limited to the fees paid for the specific Services giving rise to the claim.
10. Confidentiality and Use
10.1 Outputs are provided for the Client’s internal use only, unless otherwise agreed in writing.
10.2 The Services and outputs may not be disclosed, published, or relied upon as public statements, endorsements, or audit findings without prior written consent.
10.3 Confidential information shared by the Client shall be treated as confidential and used solely for the purpose of delivering the Services.
11. Intellectual Property
11.1 All methodologies, frameworks, analytical approaches, and underlying intellectual property used in delivering the Services remain the exclusive property of the Provider.
11.2 The Client is granted a non-exclusive, non-transferable right to use the outputs for internal decision-making purposes only.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of France, without prejudice to mandatory provisions of applicable EU law. Any disputes shall fall within the exclusive jurisdiction of the competent courts of Paris.
13. Entire Agreement
These Terms constitute the entire agreement between the parties with respect to the Services and supersede any prior discussions or representations, whether oral or written.
